Terms of use

Using Sidelot

These terms apply to Sidelot’s website and OTC market application. By using the service, you agree to these terms and acknowledge the Privacy Policy. If you do not agree, do not use the application. You must be an adult with legal capacity to enter transactions and may use the service only where your activities are permitted by applicable law.

What the service does

Sidelot provides tools to launch markets for supported Solana tokens, publish offers, coordinate direct trades, and route fees to the specified recipients. Sidelot does not promise to find a counterparty, supply liquidity, maintain a token price, prevent selloffs, or provide financial, investment, legal, or tax advice.

Wallet-held offers leave assets in the maker’s wallet; availability can change after posting. Where activated, optional funded escrow orders deposit assets into a Solana program-controlled account. Each listing identifies its settlement mode. Standard SPL tokens are supported in this release; tokens using unsupported programs or extensions may be rejected. An available market or token check is not an endorsement of a project.

Wallets and settlement

You are responsible for your wallet, its permissions, sufficient balances, and every message and transaction you sign. Review token mint addresses, quantities, prices, recipients, fees, and network details in the application and wallet. Never provide a recovery phrase or private key to Sidelot.

A wallet-held fill requires the taker and maker to sign the same transaction. Transfers execute atomically if the transaction succeeds. Submission is not confirmation; Sidelot records a completed trade after finalized chain evidence. A failed transaction may still incur network fees. A signed transaction cannot be revoked by closing the page, disconnecting a wallet, or requesting an off-chain cancellation. Pending fills remain reserved until settlement or chain-confirmed expiry is reconciled.

Optional funded escrow

Funded asks deposit the offered tokens. Funded bids deposit the quote principal plus the full trading-fee budget. A taker can fill a funded order without another maker signature. Deposits and withdrawals need separate wallet approvals and are not complete until confirmed on chain. Escrow availability depends on network and market activation.

Cancelling returns only funds still available when the cancellation executes; another fill may execute first. Expiry stops new fills but does not automatically send funds back to your wallet. Submit a withdrawal transaction to recover the remaining assets. To change a funded price, cancel and create a new order. Token vault rent can be reclaimed; on-chain order history retains its account rent.

Partial funded fills use cumulative integer accounting, so fees and principal remain within the original deposit. Amounts shown are gross; receiving your own market fee can reduce your net payment. Program, token-freeze, network, and upgrade-authority risks still apply. An escrow label does not mean an independent audit or guarantee of safety.

Offers and pricing

You choose your offer terms. Premiums and discounts are applied to a reference price to produce a fixed offer price. Indicative third-party references can be stale, incomplete, or inaccurate and are not executable quotes or guaranteed market values. Changing an offer applies only to the unfilled remainder; offers with an active settlement attempt cannot be changed until that attempt resolves.

Partial fills must meet supported minimum amounts and may be rejected when they leave an untradeable remainder. Rounding uses token base units. You are responsible for assessing whether the full price and fees are acceptable.

Trading fees and launcher earnings

The configured trading fee is 0.50% of the agreed quote amount, charged to the buyer in addition to the seller’s proceeds. Half of that fee is allocated to the market’s designated fee wallet and half to Sidelot’s platform wallet. Because amounts use integer base units, rounding may allocate one extra base unit to the platform. The taker separately pays Solana network fees and any token-account creation rent.

Launcher fees arise only from completed trades originating in that market and transfer in the settlement transaction. Posted, cancelled, failed, or unfilled offers do not generate trading fees. Earnings examples are illustrations and are not forecasts. The chosen market fee recipient is fixed for that market. Check the address before launch. Fees for future trades may change; the exact amounts must be reviewed before signing. Completed blockchain payments cannot be reversed by Sidelot.

Solo and community markets

You may launch a solo market or a community market. Selecting “Team” is a self-declared affiliation, not verification by Sidelot or a grant of exclusive rights over a coin. You must accurately describe your connection to a project and have permission to use names, branding, pictures, banners, and other submitted content. Do not impersonate a team, person, or community.

You retain rights you hold in submitted content and grant Sidelot permission to store, display, resize, and deliver it as needed to operate your market. Market fees may go to a personal wallet or community treasury. A community label does not guarantee that proceeds benefit all holders.

Prohibited conduct

Do not use Sidelot for fraud, impersonation, unlawful transactions, market manipulation, deceptive volume, unauthorized access, malicious uploads, harassment, or attempts to interfere with other traders or the service. Do not misrepresent ownership, token properties, affiliation, or fee recipients. You remain responsible for applicable tax and reporting obligations.

Availability and risk

Tokens may lose value or become impossible to transfer. Issuers may retain mint or freeze authority. Wallets, networks, RPC services, reference providers, and hosting systems can fail or become unavailable. OTC trades do not eliminate these risks or guarantee better execution than a swap.

To the extent permitted by applicable law, the service is provided as available without guarantees of uninterrupted operation, accuracy, profitability, or fitness for a particular purpose. Nothing in these terms limits rights or liabilities that applicable law does not allow to be excluded.

Moderation, changes, and contact

Sidelot may restrict access or remove displayed content to address misuse, rights complaints, technical problems, or legal obligations. Removing a listing or closing access cannot reverse a settled transaction or invalidate an unexpired signed transaction. Service features and these terms may change; review the version shown before future use.
